| CORPORATE GUARANTEE | КОРПОРАТИВНАЯ ГАРАНТИЯ |
| JSC “Sovcomflot”, hereinafter called the “Guarantor”, represented by Mr. S.O. Frank, President and CEO, acting under the provisions of the Charter, shall hereby grant the present Guarantee in favor of the Federal State Owned Unitary Enterprise “Admiralty Shipyards”, hereinafter called the “Builder”, under the following terms and conditions. | АО «Совкомфлот», далее называемое «Гарант», представленное господином С.О. Франком, Президентом и Главным исполнительным директором, действующим на основании Устава, настоящим предоставляет Гарантию в пользу Федерального государственного унитарного предприятия «Адмиралтейские верфи», далее называемого «Строитель», на следующих условиях. |
| Taking into account that: | Принимая во внимание, что: |
| (a) The Guarantor is aware of the terms and conditions of the Shipbuilding Contract No. AB/хх-0хххх dated “хх“ March 2006, hereinafter as amended from time to time called the “Contract”, concluded between the Builder and the Nostalgic Moon Shipping Company Limited, hereinafter called the “Buyer”, under which the Builder agrees to design, build, launch, equip and complete one 70,000 metric tons deadweight Ice Class Tanker (Hull 0хххх) and to sell and deliver the same to the Buyer, and the Buyer agrees, subject to the due and proper performance by the Builder of its obligations under the Contract, to purchase and take delivery of the Vessel from the Builder under the terms and conditions of the Contract; | а) Гаранту известны условия и положения Договора на строительство судна № АВ/хх-0хххх от «хх» марта 20хх года, далее вместе с изменениями называемого «Договор», заключенного между Строителем и Nostalgic Moon Shipping Company Limited, далее называемой «Покупатель», согласно которому Строитель согласился разработать проект, построить, спустить, оборудовать и завершить танкер ледового класса (корпус 02751) дедвейтом 70 000 метрических тонн, и продать, и поставить его Покупателю, а Покупатель согласился, при условии надлежащего исполнения Строителем своих обязательств по Договору, купить и принять поставку Судна от Строителя на условиях Договора; |
| (b) The Buyer shall undertake to pay to the Builder: | b) Покупатель обязуется уплатить Строителю: |
| (i) twenty per cent (20%) of the Contract Price of the Vessel amounting to 25,079,700 United States Dollars (US$ Twenty Five Million Seventy Nine Thousand Seven Hundred) within seven business days of receipt by the Buyer of the original of the Refund Guarantee to be issued by the First Class European Bank; | i) двадцать процентов (20%) от Договорной цены Судна в сумме 25 079 700 (Двадцать пять миллионов семьдесят девять тысяч семьсот) долларов США в течение семи рабочих дней после получения Покупателем оригинала Гарантии возврата, выданной первоклассным европейским банком; |
| (ii) ten per cent (10%) of the Contract price of the Vessel amounting to 12,539,850 United States Dollars (US$ Twelve Million Five Hundred Thirty Nine Thousand Eight Hundred Fifty) within seven business days of receipt by the Buyer of the original of the Refund Guarantee to be issued by the First Class European Bank; | ii) десять процентов (10%) от Договорной цены Судна в сумме 12 539 850 (Двенадцать миллионов пятьсот тридцать девять тысяч восемьсот пятьдесят) долларов США в течение семи рабочих дней после получения Покупателем оригинала Гарантии возврата, выданной первоклассным европейским банком; |
| (iii) seventy per cent (70%) of the Contract Price of the Vessel amounting to 87,778,950 United States Dollars (US$ Eighty Seven Million Seven Hundred Seventy Eight Thousand Nine Hundred Fifty) plus any increase or minus any decrease of the Contract Price due to adjustments, if any, upon the completion of delivery and acceptance of the Vessel, | iii) семьдесят процентов (70%) от Договорной цены Судна в сумме 87 778 950 (Восемьдесят семь миллионов семьсот семьдесят восемь тысяч девятьсот пятьдесят) долларов США плюс сумма любого повышения и минус сумма любого понижения Договорной цены в связи с корректировками, если они будут, по завершении поставки и приемки Судна, |
| the Guarantor hereby undertakes to be liable to the Builder for the fulfillment by the Buyer of its obligations to make the above payments under the terms and conditions of this Contract. | Гарант настоящим принимает на себя ответственность перед Строителем за выполнение Покупателем его обязательств по выполнению вышеперечисленных платежей в соответствии с условиями и положениями Договора. |
| The obligations stipulated by this Guarantee shall be fulfilled by the Guarantor within 15 business days from the receipt of the written notice of the Builder indicating that the payment claim has been presented to the Buyer and the Buyer has failed to satisfy it within seven (7) business days after the receipt of such claim. Such written notice shall contain the reference to a specific violation of the Buyer’s obligations which constitute the subject matter of this Guarantee. | Обязательства, предусмотренные настоящей Гарантией, будут выполнены Гарантом в течение 15 рабочих дней после получения письменного уведомления от Строителя о том, что Покупателю было предъявлено требование произвести платеж, и Покупатель не удовлетворил это требование в течение семи (7) рабочих дней после получения этого требования. Это письменное уведомление должно содержать ссылку на конкретное нарушение обязательств Покупателя, которые составляют предмет настоящей Гарантии. |
| However, in the case when, within seven (7) banking days after the receipt by the Guarantor of any claim from the Builder in respect of the above from the Builder, the Guarantor shall receive a notice from the Buyer indicating that the right of the Builder to receive any payments of the Contract Price, as defined above, is being disputed, or a documentary evidence indicating that the Buyer has appointed an Arbitrator for settling such a dispute, then the Guarantor’s liability under this Guarantee shall be postponed, with the intent that if and to the extent that it is subsequently established that the Buyer is liable in respect of all or part of the disputed amount then the Buyer’s payment liability in relation thereto shall continue to be guaranteed by the Guarantor under the terms of this corporate guarantee. | Однако в случае, если в течение семи (7) банковских дней после получения Гарантом любого требования от Строителя в отношении вышеизложенного Гарант получит уведомление от Покупателя, указывающее на оспоримость права Строителя на получение любых платежей в счет Договорной цены, как определено выше, или документарное свидетельство, указывающее, что Покупатель назначил арбитра для улаживания этого спора, то выполнение обязательств Гаранта по настоящей Гарантии будет отложено. Если впоследствии будет установлено, что Покупатель является обязанным по всей или части оспоренной суммы, то гарантия Гаранта в отношении обязательств Покупателя по уплате этой суммы будет продолжена в соответствии с условиями и положениями настоящей корпоративной гарантии. |
| The Guarantor shall be entitled to raise objections, which could be presented by the Buyer, to the Builder’s claims. | Гарант будет иметь право выдвигать возражения против требований Строителя, которые могут быть представлены Покупателем. |
| The rights of the Buyer in relation to the Contract shall be transferred to the Guarantor, who has fulfilled its obligation, to the extent to which the Guarantor has satisfied the Builder’s claim. | Права Покупателя по Договору будут переданы Гаранту, выполнившему свое обязательство, в той степени, в которой он удовлетворил требование Строителя. |
| The validity of this Guarantee shall expire on the Buyer’s payment of the above Delivery Installment, but not earlier than thirty (30) days after the agreed Date of Delivery of the Vessel, or upon the rescission of the Contract. | Срок действия настоящей Гарантии истекает после перечисления Покупателем Оплаты поставки, но не ранее тридцати (30) дней после согласованной Даты поставки Судна, или в момент расторжения настоящего Договора. |
