| CONTRACT PRICE AND TERMS OF PAYMENT | ДОГОВОРНАЯ ЦЕНА И УСЛОВИЯ ОПЛАТЫ |
| 1. Contract Price: | 1. Договорная цена. |
| The Contract Price of the Vessel shall be US$ 125,398,500 (United States Dollars One Hundred Twenty Five Million Three Hundred Ninety Eight Thousand Five Hundred) (hereinafter called the «Contract Price»), exclusive of VAT and customs duties collected by the custom authorities of the Russian Federation for the Vessel and imported equipments, materials and outfit as well as the cost of the Buyer’s Supplies as provided for in Article XIX hereof. The Contract Price is a fixed price subject to upward or downward adjustment only in accordance with the provisions of Articles IV and VII hereof. It includes: | Договорная цена Судна составит 125 398 500 (Сто двадцать пять миллионов триста девяносто восемь тысяч пятьсот) долларов США (далее называемая «Договорная цена»), без включения НДС и таможенных пошлин, взимаемых таможенными властями Российской Федерации за Судно и импортное оборудование, материалы и оснащение, а также стоимости Поставок Покупателя, в соответствии с условиями Статьи XIX настоящего Договора. Договорная цена является фиксированной и подлежит корректировкам в строну повышения или понижения только в соответствии с условиями Статей IV и VII настоящего Договора. Цена включает: |
| (a) The cost of the Vessel completed in accordance with the requirements of this Contract and the Specifications; | a) стоимость Судна, построенного в соответствии с требованиями настоящего Договора и Спецификации; |
| (b) The cost of all tests, trials and dry docking of the Vessel to be performed by the Builder; | b) стоимость всех проверок, испытаний и докования Судна, подлежащих выполнению Строителем; |
| (c) The cost of procuring the Classification of the Vessel and of obtaining all certificates evidencing compliance with the Mandatory Regulations which are required to be delivered pursuant to this Contract and the Specifications; | c) стоимость обеспечения присвоения Судну класса и получения всех сертификатов, подтверждающих соответствие Обязательным нормативным требованиям, которые должны быть переданы согласно настоящему Договору и Спецификации; |
| (d) Costs of the design and licenses of the Vessel; | d) стоимость проектирования и лицензирования Судна; |
| (e) All other costs and expenses of the Builder as provided for herein or otherwise incurred by the Builder unless expressly provided as being for the Buyer’s account. | e) все другие расходы Строителя, предусмотренные настоящим Договором, или иначе понесенные Строителем, если не обусловлено явным образом, что эти расходы производятся за Покупателя. |
| 2. Payments: | 2. Платежи. |
| Any and all payments under this Contract (whether by the Buyer to the Builder or vice-versa) shall be made in United States Dollars free of bank charges. | Любые и все платежи по настоящему Договору (платежи Покупателя Строителю или наоборот) будут осуществляться в долларах США без вычета банковских комиссий. |
| Any and all payments under this Contract by the Buyer to the Builder shall be made to the following Builder’s Bank account: | Любые и все платежи Покупателя Строителю по настоящему Договору будут перечисляться на следующий банковский счет Строителя: |

| 3. Terms of Payment: | 3. Условия оплаты. |
| The Contract Price shall be paid by the Buyer to the Builder in installments as follows: | Договорная цена будет выплачена Покупателем Строителю частичными платежами в следующем порядке: |
| (a) First Installment | a) Первый частичный платеж |
| Twenty per cent (20%) of the Contract Price, amounting to US$ 25,079,700 (United States Dollars Twenty Five Million Seventy Nine Thousand Seven Hundred) is due and shall be paid within seven (7) business days of receipt by the Buyer of the original of the Refund Guarantee to be issued by the Builder’s Bank (as hereafter defined) in accordance with Article XII.3 hereof. | Двадцать процентов (20%) Договорной цены, в сумме 25 079 700 (Двадцать пять миллионов семьдесят девять тысяч семьсот) долларов США подлежат уплате и будут уплачены в течение семи (7) рабочих дней после получения Покупателем Гарантии возврата, которая должна быть выдана банком Строителя (как определено ниже) в соответствии с условиями Статьи XII.3 настоящего Договора. |
| (b) Second Installment | b) Второй частичный платеж |
| Ten per cent (10%) of the Contract Price, amounting to US$ 12,539,850 (United States Dollars Twelve Million Five Hundred Thirty Nine Thousand Eight Hundred Fifty) is due upon receipt of Builder’s notice countersigned by Buyer’s Representative of commencement of steel cutting, and shall be paid within seven (7) business days of receipt by the Buyer of the original of the Refund Guarantee to be issued by the Builder’s Bank (as hereafter defined) in accordance with Article XII.3 hereof. | Десять процентов (10%) Договорной цены, в сумме 12 539 850 (Двенадцать миллионов пятьсот тридцать девять тысяч восемьсот пятьдесят) долларов США подлежат уплате по получении уведомления Строителя, подписанного также и Представителем Покупателя, о начале нарезки стальных заготовок, и будут уплачены в течение семи (7) рабочих дней после получения Покупателем оригинала Гарантии возврата, которая должна быть выдана банком Строителя (как определено ниже) в соответствии с Условиями Статьи XII.3 настоящего Договора. |
| (c) Delivery Installment | c) Платеж после поставки |
| Seventy per cent (70%) of the Contract Price, amounting to US$ 87,778,950 (United States Dollars Eighty Seven Million Seven Hundred Seventy Eight Thousand Nine Hundred Fifty), plus any increase or minus any decrease due to adjustments, if any, of the Contract Price calculated in accordance with the provisions of Articles IV and VII of this Contract shall be paid as defined by the provisions of clause 4(b) of this Article. | Семьдесят процентов (70%) Договорной цены, в сумме 87 778 950 (Восемьдесят семь миллионов семьсот семьдесят восемь тысяч девятьсот пятьдесят) долларов США, плюс любое повышение или минус любое понижение в связи с корректировками Договорной цены, если они будут, рассчитанными в соответствии с условиями Статей IV и VII настоящего Договора, будут уплачены, как определено условиями пункта 4(b) настоящей Статьи. |
| 4. Method of Payment: | Метод платежа. |
| (a) Advance Installments | a) Авансовые частичные платежи. |
| The Advance Installments of the Contract Price in accordance with clause 3(a) and 3(b) of this Article shall be made by bank transfer to the Builder’s Bank account defined in clause 2 of this Article quoting reference «Contract № AB/xx-xxxxx between Nostalgic Moon Shipping Company Limited and Admiralty Shipyards for construction of tanker 70,000 DWT, newbuilding Hull No. xxxxx». | Авансовые частичные платежи в счет Договорной цены, в соответствии с пунктами 3(а) и 3(b) настоящей Статьи, будут выполнены банковским переводом на банковский счет Строителя, указанный в пункте 2 настоящей Статьи, с указанием «Договор № АВ/хх-ххххх между Nostalgic Moon Shipping Company Limited и Адмиралтейскими верфями на строительство танкера дедвейтом 70 000 с новым корпусом № ххххх». |
| The Builder shall confirm to the Buyer in writing the receipt of the Advance Installments stated in item 3 of this Article supported by a certified copy of the Banker’s advice confirming the receipt of the above Installments. | Строитель письменно подтвердит Покупателю получение Авансовых платежей, указанных в пункте 3 настоящей Статьи, представив заверенную копию авизо Банка о получении вышеуказанных Платежей. |
| (b) Installment payable on Delivery and Acceptance | b) Платеж после Поставки и Приемки. |
| Following technical acceptance of the Vessel as envisaged in Article VIII hereof, the Builder shall notify the Buyer of the intended date of delivery of the Vessel. The Buyer shall acknowledge receipt of such notice and on the date of signing Protocol of Delivery and Acceptance of the Vessel shall pay in the amount agreed by transfer to the Builder’s account. | После технической приемки Судна, как изложено в Статье VIII настоящего Договора, Строитель уведомит Покупателя о намеченной Дате поставки Судна. Покупатель подтвердит получение этого уведомления, и в день подписания Протокола о Поставке и Приемке Судна перечислит согласованную сумму на счет Строителя. |
